The Deed-in-Your-Name Guarantee: Terms

This page explains exactly what you own, where it lives, and what happens if you stop working with us. It is part of our Terms of Service. Capitalized words have the meanings given there.
1. The promise in one paragraph
Your Site's code, design, content, domain, listings and hosting are in your agency's name and accounts from day one. We work in them as an invited user, never with your passwords. When the Site fee is paid in full, the custom design, text and code we create for your Site are assigned to your agency. You can remove our access at any time, for any reason, with no fee, and your Site keeps working.
2. What's in your name from day one

Account setup. If you prefer, we create these accounts for you using your Approver's email address, and your Approver accepts each provider's terms. No passwords. We will never ask for your passwords. If anyone asks you for one on our behalf, it isn't us.
3. What you own, legally
3.1. Your materials. Everything you give us stays yours.
3.2. The custom work. When we receive full payment of the Site fee, Sapiura assigns to your agency all of its rights, including copyright, in the custom design, the text we write and the custom code we write for your Site (Terms §9.2). On request, we sign a separate one-page copyright assignment. [LAWYER: 17 U.S.C. §204(a)]
3.3. Our reusable building blocks. Our reusable components (Terms §9.3) come with a perpetual, irrevocable, royalty-free license for your agency's websites. That license continues forever, whether or not you ever buy anything else from us.
3.4. Third-party materials. Licensed fonts, stock photos, icons and open-source software stay under their own licenses. Your handoff guide lists each one and how to keep using it.
4. What stays with Sapiura
These are our tools, not part of your Site:
- the AI Assistant software;
- our Shortlist Score measurement tools;
- our form-forwarding service;
- our internal automations;
- our brand.
Your handoff guide describes how your quote form works, so any developer can replace our form-forwarding service with a direct connection to your email or CRM.
5. Walking away: what happens and when
You don't need to cancel anything to own your Site: it's already yours. If you want us out completely, email info@sapiura.com from your Approver's address, or simply remove our access yourself. Within 5 Business Days of your request, we will:
- Remove our access to your domain, repository, hosting, listings and analytics, and confirm it to you in writing.
- Export your quote requests. Send you a copy of the quote-form submissions we still hold for your Site (up to the last {24} months) as a CSV file.
- Point your quote form straight to your email or CRM, if you ask, so it no longer goes through our service.
- Delete our copies of your quote-form submissions within 30 days after the export, unless the law requires us to keep them.

If you have the AI Assistant, cancelling it is separate (Terms §7.5). Your Site keeps working either way.
No fee. No questions. You don't have to give a reason, and we don't charge anything to hand over or remove access.
6. If there's a billing dispute
We will never take down, lock or hold hostage a Site that has Launched, even if we disagree about a bill. Your Site is already in your accounts. We collect any unpaid amounts through normal means. (Before Launch, if a payment is reversed, we pause work until it's resolved.)
7. If Sapiura goes out of business
Your Site keeps working on your own accounts. The AI Assistant would stop. If your quote form uses our form-forwarding service, it would need to be pointed straight to your email or CRM: a short change any web developer can make with your handoff guide. We'll give clients at least 60 days' notice before we stop form forwarding for any reason. 8. Limits of this guarantee
- Changes by others. After you remove our access, or once someone else changes your Site, we aren't responsible for those changes, including their effect on accessibility, disclosures, consent text or forms.
- Your accounts. You're responsible for keeping your accounts active, including renewing your domain and following each provider's terms.
- Before full payment. This guarantee covers a Site that has been paid for. Before the Site fee is paid in full, Terms §9.2 (ownership transfer) doesn't apply yet. If you get a refund under Guarantee 3, the unapproved design isn't transferred.
